Prosus Gobbles Up Just Eat Takeaway.com in €4.1 Billion Deal: Creating a European Food Delivery Giant

Amsterdam & Johannesburg – In a move that reshapes the European food delivery landscape, global tech investor Prosus N.V. has announced a conditional agreement to acquire Just Eat Takeaway.com for a staggering €4.1 billion.

The €4.1 billion acquisition translates to approximately $4.4 billion USD, based on current exchange rates, making it one of the largest deals in the global food delivery sector to date.

The all-cash offer of €20.30 per share represents a substantial 49% premium to the 3-month volume-weighted average price and a 22% premium to the 3-month high, signaling Prosus’s strong commitment to the deal.

Both Just Eat Takeaway.com’s Management Board and Supervisory Board have unanimously supported and recommended the offer.

This acquisition creates the fourth-largest food delivery group globally, combining Prosus’s extensive global food delivery portfolio with Just Eat Takeaway.com’s strong foothold in key European markets like the UK, Germany, and the Netherlands.

Prosus sees significant opportunities to accelerate growth at Just Eat Takeaway.com, leveraging its deep industry experience and AI capabilities to drive innovation, enhance customer and driver experiences, and optimize logistics.

Just Eat Takeaway.com CEO, Jitse Groen, echoed this sentiment, stating, “Prosus fully supports our strategic plans, and its extensive resources will help to further accelerate our investments and growth across food, groceries, fintech and other adjacencies.”

Prosus’s successful track record with iFood in Brazil, where AI-powered solutions revolutionized operations and customer satisfaction, provides a blueprint for transforming Just Eat Takeaway.com’s growth trajectory. The company plans to invest heavily in technology, product features, demand generation, and service quality.

Prosus’s diverse food delivery portfolio extends beyond iFood to include stakes in companies like Delivery Hero, Swiggy, Flink, Foodics, Oda, and Sharebite

This agreement follows the closure of Just Eat Takeaway’s Q1 2025 sale of GrubHub to Wonder Group Inc. for $650 million.
